TERMS OF
SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MRG ("we," "us," or "our") governing your access to and use of the MRG mobile application, website at themrg.app, and any related services (collectively, the "Service").

By downloading, installing, creating an account in, or otherwise using MRG, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using MRG on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity.

MRG is a productivity application that helps users organize their Instagram saved posts into structured action plans called "Tracks." The Service includes:

• Connection to Instagram via official OAuth to import your saved posts
• AI-powered analysis of saved content to extract key insights, topics, and actionable steps
• Organization of action items into Tracks by category (fitness, nutrition, learning, business, design)
• Habit scheduling with calendar integration and notification reminders
• Progress tracking and streak monitoring
• Export and sharing of Track data

MRG reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Creating an Account

To use MRG, you must create an account by connecting your Instagram account through the official Instagram OAuth authorization flow. You must be at least 13 years of age to create an account. By creating an account, you represent that you are at least 13 years old and have the legal capacity to enter into these Terms.

Account Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to:

• Keep your MRG authentication token and credentials secure
• Not share access to your account with any third party
• Notify us immediately at dmvjams.abadeu@gmail.com if you suspect unauthorized access to your account
• Not use another person's account without their explicit permission

Account Accuracy

You agree that the Instagram account you connect to MRG is your own and that you are authorized to use it. You may not create accounts or connect Instagram accounts on behalf of another person without their explicit consent.

Grant of License

Subject to these Terms, MRG grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the MRG application on devices you own or control, solely for your personal, non-commercial purposes.

Restrictions

You may not:

• Copy, modify, or distribute the MRG application or any portion of it
• Reverse engineer, decompile, or disassemble the application, except as permitted by applicable law
• Rent, lease, lend, sell, sublicense, or otherwise transfer the application to any third party
• Remove or alter any proprietary notices, labels, or marks on the application
• Use the application for any commercial purpose without our written consent
• Create derivative works based on the application

Updates

MRG may from time to time develop patches, updates, upgrades, or other modifications to the application. These may be automatically installed without additional notice or consent. This license includes the right to receive such updates.

Ownership

You retain all ownership rights to the content you create, input, or import into MRG, including your Instagram saved posts and the Tracks and action plans you build within the app ("User Content"). We do not claim ownership of your User Content.

License to MRG

By using MRG, you grant us a limited, non-exclusive, royalty-free license to access, process, store, and use your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your account or the relevant content.

We do not use your User Content to train AI models, for advertising, or for any purpose other than generating your personal Tracks and providing the Service.

Responsibility for Your Content

You are solely responsible for your User Content and the consequences of importing it into MRG. You represent and warrant that:

• You have all rights necessary to grant MRG the license described above
• Your User Content does not infringe any third party's intellectual property rights
• Your use of the Service complies with Instagram's Terms of Use

AI-Generated Content

The insights, action plans, and recommendations generated by MRG's AI systems are provided for informational and motivational purposes only. They do not constitute professional medical, fitness, nutritional, financial, or legal advice. Always consult qualified professionals before making significant lifestyle or financial decisions based on AI-generated content.

What You Authorize

When you connect your Instagram account to MRG via OAuth, you authorize MRG to:

• Read your Instagram username and profile ID
• Read the content of your Instagram saved posts when you initiate a sync

What You Do NOT Authorize

MRG does not request and you do not grant permission for MRG to post, like, comment, follow, unfollow, message, or perform any action on your Instagram account. MRG has read-only access to your saved posts.

Your Responsibilities

You agree that:

• You will only connect Instagram accounts that you own and are authorized to use
• You will not use MRG to violate Instagram's Terms of Use or Platform Policy
• You will not use MRG to scrape, mass-download, or harvest Instagram content at scale
• You will not use MRG to access data from Instagram accounts other than your own

Relationship with Instagram/Meta

MRG is an independent application and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or Instagram. "Instagram" is a registered trademark of Meta Platforms, Inc. Changes to Instagram's API, policies, or platform may affect MRG's ability to provide its Service. We are not liable for disruptions caused by changes to Instagram's platform.

You agree not to use MRG for any of the following purposes:

• Any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
• Scraping, crawling, or systematically extracting data from MRG or through MRG from Instagram
• Attempting to gain unauthorized access to any portion of the Service or its related systems or networks
• Interfering with or disrupting the integrity or performance of the Service
• Using automated scripts, bots, or other automated means to access the Service
• Transmitting any malware, viruses, or other malicious code through or into the Service
• Collecting or harvesting any information from the Service or other users of the Service
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity
• Using the Service to generate, distribute, or publish spam, unsolicited communications, or promotional content
• Violating any third party's intellectual property, privacy, or other rights
• Attempting to probe, scan, or test the vulnerability of any MRG system or network
• Engaging in any activity that could damage, disable, overburden, or impair the Service

Violations of this section may result in immediate account termination and may be referred to appropriate law enforcement authorities.

Free and Paid Plans

MRG offers both a free tier and paid subscription plans. The features available on each tier are described within the app and are subject to change. We will provide reasonable notice of changes to free tier limitations.

Subscription Billing

Paid subscriptions are billed through the Apple App Store. By subscribing to a paid plan, you agree to the pricing, payment, and billing policies displayed at the time of purchase. All payments are processed by Apple and are subject to Apple's terms and conditions.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage and cancel your subscription through your Apple ID account settings.

Refunds

All subscription purchases are subject to Apple's refund policy. MRG does not independently process refunds for App Store purchases. To request a refund, contact Apple directly through reportaproblem.apple.com.

Price Changes

We may change subscription prices from time to time. We will provide at least 30 days' notice of any price increase. Continued use of a paid subscription after a price change constitutes your acceptance of the new price.

Free Trials

We may offer free trials for paid features. At the end of the free trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

MRG's Intellectual Property

The Service and all of its components — including but not limited to the software, user interface design, visual design, logos, trademarks, text, graphics, images, audio, and video — are owned by or licensed to MRG and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The MRG name, logo, and all related product and service names, designs, and slogans are trademarks of MRG. You may not use these marks without our prior written consent.

Feedback

If you submit suggestions, ideas, or feedback about MRG (collectively, "Feedback"), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute the Feedback for any purpose without compensation to you. We are not obligated to implement any Feedback.

Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed by content on MRG, please contact us at dmvjams.abadeu@gmail.com with a description of the alleged infringement and the content at issue.

Specifically, MRG does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate, reliable, or meet your expectations
• Any errors in the Service will be corrected
• The AI-generated insights, action plans, or recommendations will be accurate, complete, or suitable for any particular purpose
• The Service will be compatible with all devices or operating system versions

Health & Fitness Disclaimer: MRG may generate content related to fitness, nutrition, and wellness based on your Instagram saved posts. This content is for informational and motivational purposes only and does not constitute medical advice. Consult a qualified healthcare professional before beginning any new exercise or nutrition program.

Financial Disclaimer: MRG may generate content related to business and personal finance. This content does not constitute financial, investment, or legal advice. Consult a qualified professional before making financial decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MRG, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business
• Loss of data or inability to access your Tracks
• Personal injury or property damage arising from your use of the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service by any third party

IN NO EVENT SHALL MRG'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO MRG IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, MRG's liability is limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless MRG and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any rights of a third party, including intellectual property rights or privacy rights
• Your violation of any applicable law or regulation
• Your violation of Instagram's Terms of Use or Platform Policy

MRG reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You agree not to settle any such matter without our prior written consent.

Termination by You

You may stop using the Service at any time. You may delete your account and all associated data from the app under Settings → Account → Delete Account. Account deletion is permanent and cannot be undone.

Termination by MRG

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Conduct that we determine, in our sole discretion, is harmful to other users, MRG, or third parties
• Extended inactivity (accounts inactive for more than 24 consecutive months)
• Fraudulent, abusive, or illegal activity

Effect of Termination

Upon termination of your account:

• Your license to use MRG is immediately revoked
• Your Instagram access token is revoked and deleted
• Your account data is scheduled for permanent deletion within 30 days
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

Informal Resolution First

Before filing any formal dispute, you agree to contact MRG at dmvjams.abadeu@gmail.com and give us 30 days to try to resolve the issue informally. Most disputes can be resolved this way.

Binding Arbitration

If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA) Consumer Arbitration Rules. The arbitration shall take place in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions to Arbitration

Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims that are within the jurisdiction of small claims court may be brought in such a court without arbitration.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. To the extent that any claims are not subject to arbitration, you consent to exclusive jurisdiction in the federal and state courts located in the United States.

Time Limitation

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action arose, or the claim is permanently barred.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by MRG on the Service, constitute the entire agreement between you and MRG with respect to the Service and supersede all prior agreements, representations, and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any provision of these Terms will only be effective if it is in writing and signed by MRG.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MRG may freely assign or transfer its rights and obligations under these Terms without restriction. These Terms are binding upon and inure to the benefit of the parties' successors and permitted assigns.

Force Majeure

MRG shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, government actions, internet outages, cyberattacks, or changes to third-party platform policies (including Instagram/Meta API changes).

Updates to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email (if you have provided one) at least 14 days before the changes take effect. By continuing to use the Service after changes take effect, you agree to the revised Terms.
